    Terms of Service Agreement

    Welcome to Pepagora, an online Software-as-a-Service (SaaS) platform that facilitates business-to-business commerce and supply chain management solutions. Our current services focus on connecting suppliers and buyers for the supply and purchase of goods, with plans to expand into comprehensive supply chain services including logistics, financial services, and transaction facilitation.

    This Terms of Service Agreement ("Agreement") outlines the terms and conditions under which Pepagora ("we", "us", or "the Service Provider") provides services to you ("User" or "Client").

    By accessing or using our platform, you agree to comply with and be bound by this Agreement. If you do not agree to these terms, you must refrain from using the platform and its services.


    Definitions

    Active User: A registered user who has completed at least one transaction or maintained an active subscription within the past 12 months.

    Goods: Items or products supplied or purchased via our platform.

    Pepagora: Refers to any one of the Group Companies as may be appropriate within the Pepagora corporate group structure.

    Platform: Refers to the Pepagora system offered to users for facilitating transactions of goods.

    Platform Content: All content, data, text, software, music, sound, photographs, graphics, video, messages, or other materials appearing on or transmitted through the Platform.

    Prohibited Content: Content that is illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, libelous, invasive of another’s privacy, hateful, or racially or ethnically objectionable.

    Service Fee: Subscription fees and usage-based charges for accessing and using our platform services.

    Transaction: Any supply or purchase agreement between Users facilitated through the platform.

    User: Any individual or entity accessing or using the platform, including suppliers and buyers.

    Confidential Information: Information of a confidential nature obtained whether in oral, written, graphic, electronic, or machine-readable form on any media.


    User Account and Scope of Services

    You must register an account to access certain features of the platform. Registration requires accurate and updated information. You are responsible for maintaining the confidentiality of your account credentials and any activities that occur under your account. You agree to notify us promptly if you suspect unauthorized access to your account.

    Our platform provides services including facilitating connections between suppliers and buyers of physical goods, offering tools for negotiation, communication, and agreement finalization, and providing secure payment gateways for completing transactions.

    Please note that we are not a party to any transactions between Users. Our role is strictly limited to facilitating these interactions.

    For Suppliers, the Platform enables them to add, edit, and manage products with bulk import and AI-generated content, post sell offers linked to listed products, create and manage catalogs under a subdomain or own domain setup, manage contacts, leads, and customers, access buying requests, review analytics and reports, view personalized feeds, and manage business details, account preferences, and personal settings.

    For Buyers, the Platform allows them to source products and suppliers, organize products for streamlined sourcing, post buying requests and manage quotations, use Instant Supplier Match, access analytics and reports, receive personalized feeds, manage account and business details, and track contacts, RFQs, and suppliers in one place.

    These services are provided to facilitate communication, discovery, and business relationship management. Pepagora does not participate in or guarantee the outcome of any transaction arising from the use of these features.


    Business Relationship and User Generated Content

    We provide a Platform where Users may post reviews, comments, and feedback regarding their business interactions. While we generally maintain a neutral stance, we reserve the right to moderate, review, and take action on content.

    Pepagora may, at its sole discretion, moderate, edit, remove, or disable access to content that violates our Terms of Service or community standards, infringes intellectual property rights, contains defamatory, harmful, or illegal material, violates applicable laws or regulations, or is reported through our notice-and-takedown mechanism.

    Users may report problematic content by submitting a complaint to our content moderation team. Upon receiving such reports, Pepagora will evaluate the complaint in good faith, investigate the reported content, take appropriate action, and notify relevant parties of actions taken.

    Content or feedback published on the Platform may be removed upon receipt of written consent from the original author, a valid order from a court of competent jurisdiction, Pepagora’s determination that content violates these terms, reports of defamation or infringement, or content that poses risks to user safety or platform integrity.

    Reviews or comments published by Users represent their individual opinions and not those of Pepagora. We do not endorse or verify the accuracy, truthfulness, or completeness of user-generated content. Users are responsible for the content they post and its compliance with applicable laws.


    User Representations and Warranties

    Users represent, warrant, and covenant that all information provided during registration and ongoing use of the platform is true, accurate, and complete, and that they will maintain and update such information.

    Users further represent and warrant that they have the full legal right, power, and authority to enter into this Agreement and that their use of the platform and participation in transactions will not violate applicable laws, regulations, or contractual obligations.

    Users warrant that they have the legal right to sell, offer, or list any goods or services posted on the platform, including ownership rights, distribution rights, or proper authorization from the actual owner or manufacturer.

    Users represent that they hold all necessary licenses, permits, certifications, and regulatory approvals required for their business operations and the goods or services they offer through the platform.

    Users warrant that all content they post, upload, or transmit through the platform does not infringe the intellectual property rights of third parties and that they either own such content or have obtained proper licenses and permissions.

    Users represent and warrant that their business operations are fully compliant with all applicable laws, regulations, and industry standards, and that they are not subject to government sanctions, export restrictions, or other legal prohibitions preventing lawful use of the platform.

    These representations and warranties are ongoing obligations. Any breach constitutes a material breach of this Agreement and may result in immediate account suspension or termination, in addition to other remedies available under law or equity.


    Relationship Between Parties and Mutual Promotion

    The relationship between Pepagora and its Users is strictly that of an independent service provider and customer. Nothing in this Agreement creates, implies, or should be construed as creating any employment, agency, partnership, joint venture, or similar business relationship.

    Users retain full control and responsibility for their business operations, including pricing decisions, customer relationships, product quality, and service delivery. Pepagora does not control, direct, or supervise users' business operations and has no authority to bind users to obligations to third parties or vice versa.

    Each party may, at its sole discretion, choose to promote the other’s offerings through their respective marketing channels. Nothing in this section creates a binding obligation to undertake co-marketing activities.

    If Pepagora facilitates the sale or listing of a counterparty’s products, the counterparty shall make reasonable efforts to promote Pepagora’s Platform through its own marketing channels, while Pepagora may also promote the counterparty’s products through standard marketing activities.

    Counterparties receive a limited, non-exclusive, revocable license to use Pepagora’s name, logos, and promotional materials solely for promoting Pepagora’s services, and only to the extent necessary for such activities. This license may be revoked by Pepagora at any time with written notice.


    Fees and Payments

    We charge a Service Fee for transactions facilitated through our platform. The fee structure will be clearly outlined on the platform.

    The packages currently offered by Pepagora are Explore, Grow or Starter, Scale or Professional, Global or Business, and Enterprise. The services offered within each package are outlined on the pricing page of the Pepagora website.

    Pepagora retains the sole discretion to modify, alter, merge, terminate, or add new subscription packages, and also retains the unilateral right to modify the scope of services offered within each package.

    Users who intend to upgrade or downgrade are not entitled to seek adjustment of any remaining unused subscription period from an existing subscription, and such requests may be denied by Pepagora.

    Service Fees are non-refundable unless otherwise specified. Payments must be made through the platform’s designated payment methods.


    User Responsibilities

    As a User, you agree to provide accurate, complete, and lawful information regarding the physical goods you supply or purchase.

    You agree to abide by all laws and regulations governing your transactions, respect the intellectual property, privacy, and rights of other Users, and avoid uploading or sharing harmful, illegal, fraudulent, or prohibited content.

    You must maintain accurate and current business registration information, promptly update account information when changes occur, report suspected fraudulent activity or security breaches immediately, comply with export and import regulations, maintain appropriate business licenses and permits, and not engage in price manipulation, bid rigging, or anti-competitive practices.

    Failure to adhere to these responsibilities may result in account suspension or termination by giving prior 7 days’ notice in advance before suspension or termination.


    Service Limitations and Liability Cap

    We do not guarantee the availability, quality, or suitability of goods transacted through our platform. We are not liable for disputes, delays, or damages arising from transactions. We reserve the right to modify or discontinue parts of the platform without notice.

    To the maximum extent permitted by law, the Platform is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express, implied, statutory, or otherwise.

    Pepagora shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, business opportunities, data, expected savings, business interruption, or third-party claims.

    Our total liability for all claims arising from or related to these terms or your use of the Platform shall not exceed the lesser of the total amount paid by you to Pepagora in the 12 months preceding the claim or 10,000 USD or equivalent in local currency.

    Any claim must be brought within one year after the cause of action arises.


    User Verification, Platform Disclaimers, and Automated Listings

    Pepagora operates a tiered verification system where some users undergo identity and background verification processes while others may use the platform without such verification.

    For premium subscription users and certain service tiers, Pepagora may conduct identity verification, background checks, and business credential validation. Verified status indicates only that certain identity and credential checks have been completed and does not constitute an endorsement or guarantee of business practices, product quality, financial stability, or legal compliance.

    For unverified users who access the platform on a free or basic tier basis, Pepagora does not verify identity, background, legal standing, or business credentials, and users interact with such accounts entirely at their own risk.

    Pepagora is not responsible for communications, negotiations, or transactions that occur outside the platform between users who initially connected through our services.

    Pepagora’s platform may utilize automated algorithms and data aggregation technologies to collect product catalogs, pricing information, and supplier details from open sources and licensed data providers. In some instances, users may appear as sellers or may have listings associated with their profiles based on algorithmically aggregated data.

    Users who believe they have been incorrectly associated with products or listings may request removal of such content by contacting our support team. Pepagora disclaims liability for inaccuracies, misattributions, unauthorized associations, or disputes arising from such algorithmic content aggregation and automated listing processes.


    Third-Party Security and Intellectual Property

    Pepagora shall not be liable for security breaches, data loss, or privacy violations arising from third-party service providers, including cloud hosting providers, payment processors, analytics services, or other integrated platforms, except where such breaches result from Pepagora's gross negligence or willful misconduct.

    All intellectual property rights related to the platform, including trademarks, designs, software, databases, and content, remain the exclusive property of Pepagora and are protected under applicable laws.

    Users are prohibited from reproducing, modifying, distributing, reverse-engineering, decompiling, or creating derivative works based on any part of the platform without prior written consent from Pepagora.

    By posting content on the Platform, you grant Pepagora a worldwide, non-exclusive, royalty-free license to use, display, reproduce, and distribute your content, the right to moderate, edit, or remove content that violates these terms, and permission to use your business name and logo in promotional materials related to transactions facilitated through the Platform.

    We respond to valid DMCA takedown notices. By providing feedback, suggestions, or ideas about our platform, you grant Pepagora the right to use, modify, and implement such feedback without compensation or attribution.

    Pepagora also grants users a limited, non-exclusive, non-transferable, revocable license to use Pepagora's name, logos, and approved promotional materials solely to promote their own business activities in connection with their use of the platform, subject to strict brand and usage restrictions.


    Enhanced Security Measures and Compliance

    Users must use strong, unique passwords and enable two-factor authentication when available, not share credentials with third parties, immediately report unauthorized access or suspicious activity, and not attempt to breach security measures or access restricted areas.

    Users shall not use automated scripts, bots, crawlers, or any automated means to access the Platform, scrape platform content, mine user data, extract business information, or harvest contact details. Users shall also not reverse engineer the Platform, upload harmful code, create multiple accounts to circumvent restrictions, or engage in illegal financial activities.

    Users may be required to provide additional verification for high-value transactions, and suspicious activities may be reported to relevant authorities as required by law.

    Users must comply with all applicable economic sanctions, trade restrictions, tax obligations, import and export duties, customs requirements, anti-corruption laws, consumer protection regulations, and product safety standards.

    Pepagora reserves the right to request documentation proving compliance, suspend or terminate accounts for non-compliance, report suspicious activities, and implement additional verification procedures for high-risk transactions.


    Confidentiality and Transaction-Specific Terms

    You agree to maintain the confidentiality of any sensitive information obtained through the platform, including trade secrets, pricing details, and client data. Breach of confidentiality may lead to legal action.

    Pepagora acts solely as a technology facilitator connecting buyers and suppliers. We do not hold fiduciary responsibility or custody of funds. All payment processing, escrow services, or financial transaction services, if provided, are administered through third-party licensed partners under separate terms and conditions.

    All payments are processed through secure, PCI-compliant payment processors. Payment disputes must be reported within 30 days of the transaction date. Chargebacks may result in account suspension pending investigation.

    For high-value transactions, third-party escrow services may be available through licensed partners. Pepagora does not hold, manage, or have custody of escrowed funds, and users enter into separate agreements with escrow service providers.

    Pepagora is not responsible for the performance, reliability, or compliance of third-party payment processors or escrow service providers.


    Termination, Disclaimers, and Indemnification

    We reserve the right to terminate or suspend your account, access, or use of the platform at our discretion in case of violations of this Agreement or applicable laws. Termination may occur without prior notice.

    Grounds for immediate termination include fraudulent activity or misrepresentation, violation of applicable laws or regulations, harassment or abuse of other users, multiple violations of these terms after warnings, and non-payment of fees on or before expiry of the opted plan.

    Written notice will be provided when possible, except for immediate termination cases. Users have 7 days to respond to non-immediate termination notices and may download their data within 30 days of termination notice.

    The platform is provided "as is" and "as available" without warranties of any kind. We disclaim liability for direct, indirect, incidental, or consequential damages arising from the use or inability to use the platform.

    Users agree to indemnify and hold harmless Pepagora, its affiliates, employees, and agents from claims, damages, or legal fees arising from platform use, non-compliance with this Agreement, intellectual property violations, tax non-compliance, product liability issues, misrepresentation, or false information provided to the platform.


    Cookie Policy, Data Sharing, and Privacy Policy

    We use cookies and similar tracking technologies for performance, analytics, and marketing purposes. Your continued use of the platform signifies your consent to our Cookie Policy. You may manage or disable cookies through your browser settings.

    We may use essential cookies, analytic cookies, and marketing or advertising cookies. Cookies may be session cookies or persistent cookies, and some may be placed by third-party service providers such as analytics or advertising partners.

    Pepagora may share personal data, product details, website details, and other business information with affiliate companies, business partners, service providers, regulatory authorities, and marketing partners where user consent applies.

    By creating an account, users explicitly consent to the use of their personal data in accordance with this Agreement and the Privacy Policy, cross-border data transfers, sharing of business information for legitimate business purposes, and processing of data in jurisdictions where Pepagora or its partners operate.

    Marketing data sharing may be opted out of by contacting support@pepagora.com. The Privacy Policy governs the collection, use, storage, disclosure, and protection of information shared while using the Platform, and continued use after amendments constitutes consent to the updated Privacy Policy.


    Information We Collect and Data Protection

    We collect business information, personal information, business documents, personal documents, product information, transaction and usage data, technical data, payment and financial data, and communication data when you visit, register on, or use the Pepagora platform.

    Examples include legal business name, work email, phone number, business type, legal status, business address, employee count, establishment year, industry sector, name, personal email and phone number, date of birth, designation, national ID details, device and browser information, business certificates, personal identity documents, product names, images, specifications, pricing structures, shipping information, quality certificates, payment preferences, and support communication logs.

    We may collect sensitive personal data including payment details for subscription fees, biometric information for KYC video verification, and any other data classified as sensitive under applicable laws, but only with explicit consent and for specific legitimate purposes.

    We process personal data under GDPR legal bases including contractual necessity, legitimate interests, legal compliance, and consent. Data subjects have rights including access, rectification, erasure, restriction, portability, objection, and withdrawal of consent.

    Data retention periods include account data for the duration of the account plus 7 years, transaction records for 7 years, marketing data until consent withdrawal plus 2 years, technical logs for 1 year, and KYC documents as required by law.

    Data transfers outside the EEA are protected by adequacy decisions, Standard Contractual Clauses, or Binding Corporate Rules. Users may contact privacy@pepagora.com regarding data protection requests.


    API and Third-Party Service Usage Terms

    API access requires a separate agreement and authentication credentials, and users must comply with rate limits, usage quotas, and technical specifications defined in our API documentation.

    Users may integrate approved third-party services with their Pepagora accounts subject to additional integration-specific terms. Pepagora is not responsible for the performance, availability, data handling practices, or security of third-party services.

    Our platform relies on third-party services including cloud infrastructure providers, payment processors, analytics and monitoring tools, communication and notification services, and security and fraud prevention tools.

    We cannot guarantee the performance, reliability, or availability of third-party services on which our platform depends. We reserve the right to change service providers with reasonable notice to users.

    Detailed API documentation, technical requirements, and usage guidelines are available separately through our developer portal. Violations of API terms may result in immediate access suspension without prior notice.


    Force Majeure, Dispute Resolution, and Governing Law

    We shall not be responsible for delays or failure in performance due to events beyond our reasonable control, including natural disasters, riots, strikes, protests, civil commotion, fire, flood, war, terrorism, technical failures of critical systems, internet outages, telecommunications failures, third-party service interruptions, cyber-attacks, changes in laws, sanctions, and failures of essential third-party service providers.

    In the event of any dispute, controversy, or claim arising out of or relating to this Agreement, the parties agree to first attempt to resolve the dispute amicably through good faith negotiations within 30 days from written notice.

    If unresolved through negotiation, the parties agree to submit the dispute to mediation administered by a mutually agreed mediator in India in accordance with the Mediation Act, 2023. If still unresolved, either party may submit the dispute to binding arbitration under the Arbitration and Conciliation Act, 1996.

    The seat and venue of arbitration shall be Chennai, India, and the arbitration proceedings shall be conducted in English.

    This Agreement shall be governed by and construed in accordance with the laws of India. Any disputes between User and Pepagora must be resolved through arbitration in Chennai.


    Renewal, Amendments, Notices, and Final Terms

    This Agreement shall continue to be in force unless terminated by either party with 30 business days prior written notice to the other party, subject to the cure periods and breach provisions stated in this Agreement.

    The parties may mutually agree to renew this Agreement based on the applicable service category. For standard subscription packages, renewal shall be automatic as per the selected pricing package terms unless either party provides notice of non-renewal before expiry. For field sales and enterprise agreements, renewal shall be subject to mutual discussion and written agreement.

    If any provision is held to be invalid, that provision will be modified to the extent necessary to make it enforceable, and the remaining provisions will continue in effect.

    We reserve the right to amend this Agreement at any time. Updated terms will be published on the platform, and continued use signifies acceptance of those changes.

    By using the Platform, you consent to receive communications electronically, including Terms of Service updates, Privacy Policy changes, transaction confirmations, and marketing communications where applicable.

    Notices are deemed delivered immediately if sent via Platform messaging system, 24 hours if sent via email to the registered address, and 3 business days if sent via postal mail. Unless otherwise stated, notices shall be in writing, in English, and delivered personally, by registered post or recognized courier, or by electronic mail.

    Users may not assign their rights or obligations without written consent. Pepagora may assign this Agreement in connection with a merger, acquisition, or sale of assets.

    The sections relating to Intellectual Property, Confidentiality, Limitation of Liability, Indemnification, and Governing Law survive termination.

    This Agreement, together with the Privacy Policy and any additional terms for specific services, constitutes the complete agreement between the parties. In the event of any discrepancy between versions in different languages, the English version shall prevail.

Pepagora does not control, direct, or supervise users' business operations and has no authority to bind users to obligations to third parties or vice versa.

    Each party may, at its sole discretion, choose to promote the other’s offerings through their respective marketing channels. Nothing in this section creates a binding obligation to undertake co-marketing activities.

    If Pepagora facilitates the sale or listing of a counterparty’s products, the counterparty shall make reasonable efforts to promote Pepagora’s Platform through its own marketing channels, while Pepagora may also promote the counterparty’s products through standard marketing activities.

    Counterparties receive a limited, non-exclusive, revocable license to use Pepagora’s name, logos, and promotional materials solely for promoting Pepagora’s services, and only to the extent necessary for such activities. This license may be revoked by Pepagora at any time with written notice.

    Fees and Payments

    We charge a Service Fee for transactions facilitated through our platform. The fee structure will be clearly outlined on the platform.

    The packages currently offered by Pepagora are Explore, Grow or Starter, Scale or Professional, Global or Business, and Enterprise. The services offered within each package are outlined on the pricing page of the Pepagora website.

    Pepagora retains the sole discretion to modify, alter, merge, terminate, or add new subscription packages, and also retains the unilateral right to modify the scope of services offered within each package.

    Users who intend to upgrade or downgrade are not entitled to seek adjustment of any remaining unused subscription period from an existing subscription, and such requests may be denied by Pepagora.

    Service Fees are non-refundable unless otherwise specified. Payments must be made through the platform’s designated payment methods.

    User Responsibilities

    As a User, you agree to provide accurate, complete, and lawful information regarding the physical goods you supply or purchase.

    You agree to abide by all laws and regulations governing your transactions, respect the intellectual property, privacy, and rights of other Users, and avoid uploading or sharing harmful, illegal, fraudulent, or prohibited content.

    You must maintain accurate and current business registration information, promptly update account information when changes occur, report suspected fraudulent activity or security breaches immediately, comply with export and import regulations, maintain appropriate business licenses and permits, and not engage in price manipulation, bid rigging, or anti-competitive practices.

    Failure to adhere to these responsibilities may result in account suspension or termination by giving prior 7 days’ notice in advance before suspension or termination.

    Service Limitations and Liability Cap

    We do not guarantee the availability, quality, or suitability of goods transacted through our platform. We are not liable for disputes, delays, or damages arising from transactions. We reserve the right to modify or discontinue parts of the platform without notice.

    To the maximum extent permitted by law, the Platform is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express, implied, statutory, or otherwise.

    Pepagora shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, business opportunities, data, expected savings, business interruption, or third-party claims.

    Our total liability for all claims arising from or related to these terms or your use of the Platform shall not exceed the lesser of the total amount paid by you to Pepagora in the 12 months preceding the claim or 10,000 USD or equivalent in local currency.

    Any claim must be brought within one year after the cause of action arises.

    User Verification, Platform Disclaimers, and Automated Listings

    Pepagora operates a tiered verification system where some users undergo identity and background verification processes while others may use the platform without such verification.

    For premium subscription users and certain service tiers, Pepagora may conduct identity verification, background checks, and business credential validation. Verified status indicates only that certain identity and credential checks have been completed and does not constitute an endorsement or guarantee of business practices, product quality, financial stability, or legal compliance.

    For unverified users who access the platform on a free or basic tier basis, Pepagora does not verify identity, background, legal standing, or business credentials, and users interact with such accounts entirely at their own risk.

    Pepagora is not responsible for communications, negotiations, or transactions that occur outside the platform between users who initially connected through our services.

    Pepagora’s platform may utilize automated algorithms and data aggregation technologies to collect product catalogs, pricing information, and supplier details from open sources and licensed data providers. In some instances, users may appear as sellers or may have listings associated with their profiles based on algorithmically aggregated data.

    Users who believe they have been incorrectly associated with products or listings may request removal of such content by contacting our support team. Pepagora disclaims liability for inaccuracies, misattributions, unauthorized associations, or disputes arising from such algorithmic content aggregation and automated listing processes.

    Third-Party Security and Intellectual Property

    Pepagora shall not be liable for security breaches, data loss, or privacy violations arising from third-party service providers, including cloud hosting providers, payment processors, analytics services, or other integrated platforms, except where such breaches result from Pepagora's gross negligence or willful misconduct.

    All intellectual property rights related to the platform, including trademarks, designs, software, databases, and content, remain the exclusive property of Pepagora and are protected under applicable laws.

    Users are prohibited from reproducing, modifying, distributing, reverse-engineering, decompiling, or creating derivative works based on any part of the platform without prior written consent from Pepagora.

    By posting content on the Platform, you grant Pepagora a worldwide, non-exclusive, royalty-free license to use, display, reproduce, and distribute your content, the right to moderate, edit, or remove content that violates these terms, and permission to use your business name and logo in promotional materials related to transactions facilitated through the Platform.

    We respond to valid DMCA takedown notices. By providing feedback, suggestions, or ideas about our platform, you grant Pepagora the right to use, modify, and implement such feedback without compensation or attribution.

    Pepagora also grants users a limited, non-exclusive, non-transferable, revocable license to use Pepagora's name, logos, and approved promotional materials solely to promote their own business activities in connection with their use of the platform, subject to strict brand and usage restrictions.

    Enhanced Security Measures and Compliance

    Users must use strong, unique passwords and enable two-factor authentication when available, not share credentials with third parties, immediately report unauthorized access or suspicious activity, and not attempt to breach security measures or access restricted areas.

    Users shall not use automated scripts, bots, crawlers, or any automated means to access the Platform, scrape platform content, mine user data, extract business information, or harvest contact details. Users shall also not reverse engineer the Platform, upload harmful code, create multiple accounts to circumvent restrictions, or engage in illegal financial activities.

    Users may be required to provide additional verification for high-value transactions, and suspicious activities may be reported to relevant authorities as required by law.

    Users must comply with all applicable economic sanctions, trade restrictions, tax obligations, import and export duties, customs requirements, anti-corruption laws, consumer protection regulations, and product safety standards.

    Pepagora reserves the right to request documentation proving compliance, suspend or terminate accounts for non-compliance, report suspicious activities, and implement additional verification procedures for high-risk transactions.

    Confidentiality and Transaction-Specific Terms

    You agree to maintain the confidentiality of any sensitive information obtained through the platform, including trade secrets, pricing details, and client data. Breach of confidentiality may lead to legal action.

    Pepagora acts solely as a technology facilitator connecting buyers and suppliers. We do not hold fiduciary responsibility or custody of funds. All payment processing, escrow services, or financial transaction services, if provided, are administered through third-party licensed partners under separate terms and conditions.

    All payments are processed through secure, PCI-compliant payment processors. Payment disputes must be reported within 30 days of the transaction date. Chargebacks may result in account suspension pending investigation.

    For high-value transactions, third-party escrow services may be available through licensed partners. Pepagora does not hold, manage, or have custody of escrowed funds, and users enter into separate agreements with escrow service providers.

    Pepagora is not responsible for the performance, reliability, or compliance of third-party payment processors or escrow service providers.

    Termination, Disclaimers, and Indemnification

    We reserve the right to terminate or suspend your account, access, or use of the platform at our discretion in case of violations of this Agreement or applicable laws. Termination may occur without prior notice.

    Grounds for immediate termination include fraudulent activity or misrepresentation, violation of applicable laws or regulations, harassment or abuse of other users, multiple violations of these terms after warnings, and non-payment of fees on or before expiry of the opted plan.

    Written notice will be provided when possible, except for immediate termination cases. Users have 7 days to respond to non-immediate termination notices and may download their data within 30 days of termination notice.

    The platform is provided "as is" and "as available" without warranties of any kind. We disclaim liability for direct, indirect, incidental, or consequential damages arising from the use or inability to use the platform.

    Users agree to indemnify and hold harmless Pepagora, its affiliates, employees, and agents from claims, damages, or legal fees arising from platform use, non-compliance with this Agreement, intellectual property violations, tax non-compliance, product liability issues, misrepresentation, or false information provided to the platform.

    Cookie Policy, Data Sharing, and Privacy Policy

    We use cookies and similar tracking technologies for performance, analytics, and marketing purposes. Your continued use of the platform signifies your consent to our Cookie Policy. You may manage or disable cookies through your browser settings.

    We may use essential cookies, analytic cookies, and marketing or advertising cookies. Cookies may be session cookies or persistent cookies, and some may be placed by third-party service providers such as analytics or advertising partners.

    Pepagora may share personal data, product details, website details, and other business information with affiliate companies, business partners, service providers, regulatory authorities, and marketing partners where user consent applies.

    By creating an account, users explicitly consent to the use of their personal data in accordance with this Agreement and the Privacy Policy, cross-border data transfers, sharing of business information for legitimate business purposes, and processing of data in jurisdictions where Pepagora or its partners operate.

    Marketing data sharing may be opted out of by contacting support@pepagora.com. The Privacy Policy governs the collection, use, storage, disclosure, and protection of information shared while using the Platform, and continued use after amendments constitutes consent to the updated Privacy Policy.

    Information We Collect and Data Protection

    We collect business information, personal information, business documents, personal documents, product information, transaction and usage data, technical data, payment and financial data, and communication data when you visit, register on, or use the Pepagora platform.

    Examples include legal business name, work email, phone number, business type, legal status, business address, employee count, establishment year, industry sector, name, personal email and phone number, date of birth, designation, national ID details, device and browser information, business certificates, personal identity documents, product names, images, specifications, pricing structures, shipping information, quality certificates, payment preferences, and support communication logs.

    We may collect sensitive personal data including payment details for subscription fees, biometric information for KYC video verification, and any other data classified as sensitive under applicable laws, but only with explicit consent and for specific legitimate purposes.

    We process personal data under GDPR legal bases including contractual necessity, legitimate interests, legal compliance, and consent. Data subjects have rights including access, rectification, erasure, restriction, portability, objection, and withdrawal of consent.

    Data retention periods include account data for the duration of the account plus 7 years, transaction records for 7 years, marketing data until consent withdrawal plus 2 years, technical logs for 1 year, and KYC documents as required by law.

    Data transfers outside the EEA are protected by adequacy decisions, Standard Contractual Clauses, or Binding Corporate Rules. Users may contact privacy@pepagora.com regarding data protection requests.

    API and Third-Party Service Usage Terms

    API access requires a separate agreement and authentication credentials, and users must comply with rate limits, usage quotas, and technical specifications defined in our API documentation.

    Users may integrate approved third-party services with their Pepagora accounts subject to additional integration-specific terms. Pepagora is not responsible for the performance, availability, data handling practices, or security of third-party services.

    Our platform relies on third-party services including cloud infrastructure providers, payment processors, analytics and monitoring tools, communication and notification services, and security and fraud prevention tools.

    We cannot guarantee the performance, reliability, or availability of third-party services on which our platform depends. We reserve the right to change service providers with reasonable notice to users.

    Detailed API documentation, technical requirements, and usage guidelines are available separately through our developer portal. Violations of API terms may result in immediate access suspension without prior notice.

    Force Majeure, Dispute Resolution, and Governing Law

    We shall not be responsible for delays or failure in performance due to events beyond our reasonable control, including natural disasters, riots, strikes, protests, civil commotion, fire, flood, war, terrorism, technical failures of critical systems, internet outages, telecommunications failures, third-party service interruptions, cyber-attacks, changes in laws, sanctions, and failures of essential third-party service providers.

    In the event of any dispute, controversy, or claim arising out of or relating to this Agreement, the parties agree to first attempt to resolve the dispute amicably through good faith negotiations within 30 days from written notice.

    If unresolved through negotiation, the parties agree to submit the dispute to mediation administered by a mutually agreed mediator in India in accordance with the Mediation Act, 2023. If still unresolved, either party may submit the dispute to binding arbitration under the Arbitration and Conciliation Act, 1996.

    The seat and venue of arbitration shall be Chennai, India, and the arbitration proceedings shall be conducted in English.

    This Agreement shall be governed by and construed in accordance with the laws of India. Any disputes between User and Pepagora must be resolved through arbitration in Chennai.

    Renewal, Amendments, Notices, and Final Terms

    This Agreement shall continue to be in force unless terminated by either party with 30 business days prior written notice to the other party, subject to the cure periods and breach provisions stated in this Agreement.

    The parties may mutually agree to renew this Agreement based on the applicable service category. For standard subscription packages, renewal shall be automatic as per the selected pricing package terms unless either party provides notice of non-renewal before expiry. For field sales and enterprise agreements, renewal shall be subject to mutual discussion and written agreement.

    If any provision is held to be invalid, that provision will be modified to the extent necessary to make it enforceable, and the remaining provisions will continue in effect.

    We reserve the right to amend this Agreement at any time. Updated terms will be published on the platform, and continued use signifies acceptance of those changes.

    By using the Platform, you consent to receive communications electronically, including Terms of Service updates, Privacy Policy changes, transaction confirmations, and marketing communications where applicable.

    Notices are deemed delivered immediately if sent via Platform messaging system, 24 hours if sent via email to the registered address, and 3 business days if sent via postal mail. Unless otherwise stated, notices shall be in writing, in English, and delivered personally, by registered post or recognized courier, or by electronic mail.

    Users may not assign their rights or obligations without written consent. Pepagora may assign this Agreement in connection with a merger, acquisition, or sale of assets.

    The sections relating to Intellectual Property, Confidentiality, Limitation of Liability, Indemnification, and Governing Law survive termination.

    This Agreement, together with the Privacy Policy and any additional terms for specific services, constitutes the complete agreement between the parties. In the event of any discrepancy between versions in different languages, the English version shall prevail.
