logistics, financial services, and transaction facilitation. This Terms of Service
Agreement (“Agreement”) outlines the terms and conditions under which Pepagora
(“we”, “us”, or “the Service Provider”) provides services to you (“User” or
“Client”).
By accessing or using our platform, you agree to comply with and be bound by this
Agreement. If you do not agree to these terms, you must refrain from using the
platform and its services.
Definitions
- Active User: A registered user who has completed at least one
transaction or maintained an active subscription within the past 12 months.
- Goods: Items or products supplied or purchased via our
platform.
- Pepagora: Refers to any one of the Group Companies as may be
appropriate within the Pepagora corporate group structure.
- Platform: Refers to the Pepagora system offered to users for
facilitating transactions of goods.
- Platform Content: All content, data, text, software, music,

or transmitted through the Platform.
- Prohibited Content: Content that is illegal, harmful,
threatening, abusive, harassing, defamatory, vulgar, obscene, libelous, invasive

- Service Fee: Subscription fees and usage-based charges for
accessing and using our platform services.
- Transaction: Any supply or purchase agreement between Users

confidentiality of your account credentials and any activities that occur under your

Scope of Services
Our platform provides the following services:

Please note that we are not a party to any transactions between Users. Our role is

For Suppliers, the Platform enables them to:
- Add, edit, and manage products with bulk import and AI-generated content, along
with full control over display settings
- Post sell offers linked to your listed products
- Create and manage catalogs under a subdomain, or own domain setup (including
external website creation)
- Manage contacts, leads, and customers in one unified space
- Access buying requests relevant to your product categories
- Get analytics and reports for product performance, website traffic, and lead
insights
- View personalized feeds tailored to display only relevant and insightful
business information
- Easily manage business details, account preferences, and personal settings
For Buyers, the Platform allows them to:
- Source products and suppliers across various categories
- Add, edit, and organize products for streamlined sourcing
- Post buying requests and manage supplier quotations
- Use Instant Supplier Match and receive responses within a few hours
- Access analytics and reports to monitor and evaluate sourcing needs
- Get personalized feeds that highlight relevant and valuable information
- Manage business details, account preferences, and personal settings with ease
- Organize and track contacts, RFQs, and suppliers in one centralized place
These services are provided to facilitate communication, discovery, and business
relationship management. Pepagora does not participate in or guarantee the outcome
of any transaction arising from the use of these features.
Business Relationship and User-Generated Content
We provide a Platform where Users may post reviews, comments, and feedback regarding
their business interactions. While we generally maintain a neutral stance, we
reserve the right to moderate, review, and take action on content as described
below.
Content Moderation and Review
Pepagora may, at its sole discretion, moderate, edit, remove, or disable access to
content that:
- Violates our Terms of Service or community standards
- Infringes intellectual property rights
- Contains defamatory, harmful, or illegal material
- Violates applicable laws or regulations
- Is reported through our notice-and-takedown mechanism
Notice-and-Takedown Mechanism
Users may report problematic content by submitting a complaint to our content
moderation team. Upon receiving such reports, Pepagora will:

- Take appropriate action, which may include content removal or access restriction

User Responsibility and Disclaimers
Any reviews or comments published by Users represent their individual opinions and
not those of Pepagora. We do not endorse, verify the accuracy of, or take
responsibility for the truthfulness or completeness of user-generated content. Users
are responsible for the content they post and its compliance with applicable laws.
If a User feels aggrieved by content posted by others, they may:
- Report the content through our notice-and-takedown mechanism
- Take appropriate legal action directly against the author
- Contact our support team for assistance
Pepagora shall not be held responsible or liable for disputes arising from
user-generated content, though we may assist in resolution through our moderation
processes.
User Representations and Warranties
Users represent, warrant, and covenant to Pepagora that all information provided
during registration and ongoing use of the platform is true, accurate, and complete,
and that they will maintain and update such information to ensure its continued
accuracy.
Users further represent and warrant that they have the full legal right, power, and
authority to enter into this Agreement and to perform their obligations hereunder,
and that their use of the platform and participation in any transactions will not
violate any applicable laws, regulations, or contractual obligations.
Specifically, users warrant that they have the legal right to sell, offer, or list
any goods or services posted on the platform, including but not limited to ownership
rights, distribution rights, or proper authorization from the actual owner or
manufacturer.
Users represent that they hold all necessary licenses, permits, certifications, and
regulatory approvals required for their business operations and the goods or
services they offer through the platform, and that all such documentation is
current, valid, and in good standing with the relevant authorities.
Users warrant that all content they post, upload, or transmit through the platform,
including but not limited to product descriptions, images, videos, and promotional
materials, does not infringe upon any intellectual property rights of third parties,
including copyrights, trademarks, patents, trade secrets, or any other proprietary
rights.
Users further warrant that they either own all such content or have obtained proper
licenses, permissions, or authorizations to use such content for commercial purposes
on the platform.
Users represent and warrant that their business operations are fully compliant with
all applicable laws, regulations, and industry standards in their jurisdiction and
in any jurisdiction where they conduct business through the platform, including but
not limited to tax laws, employment laws, environmental regulations, consumer
protection laws, data protection regulations, and international trade laws.
Users warrant that they are not subject to any government sanctions, export
restrictions, or other legal prohibitions that would prevent their lawful use of the
platform or participation in commercial transactions.
These representations and warranties are ongoing obligations that continue throughout
the user's relationship with Pepagora, and users agree to immediately notify
Pepagora of any changes in circumstances that would affect the accuracy of these
representations and warranties. Any breach of these representations and warranties
constitutes a material breach of this Agreement and may result in immediate account
suspension or termination, in addition to any other remedies available to Pepagora
under law or equity.
Relationship Between Parties
The relationship between Pepagora and its Users is strictly that of an independent
service provider and customer, and nothing in this Agreement or the use of the
platform creates, implies, or should be construed as creating any employment,
agency, partnership, joint venture, or similar business relationship between
Pepagora and any user. Users are independent businesses or individuals who utilize
Pepagora’s platform services to facilitate their own commercial activities, and they
retain full control and responsibility for their business operations, including but
not limited to pricing decisions, customer relationships, product quality, and
service delivery. Pepagora does not exercise control over users' business
operations, does not direct or supervise users' daily activities, and does not have
the authority to bind users to any obligations to third parties or vice versa. Users
are not employees, agents, representatives, or partners of Pepagora, and they have
no authority to act on behalf of Pepagora or to make commitments, representations,
or warranties on Pepagora's behalf. Similarly, Pepagora is not an employee, agent,
representative, or partner of any user and has no obligation to promote, market, or
support any specific user's business beyond the standard platform services provided
to all users. Each party operates independently and assumes full responsibility for
their own business decisions, tax obligations, regulatory compliance, and legal
liabilities arising from their respective activities. No party has any ownership
interest in the other party's business, intellectual property, or assets, and
neither party is entitled to share in the profits, losses, or business opportunities
of the other party except as explicitly provided in this Agreement. This independent
relationship shall survive termination of this Agreement and shall not be altered by
the frequency of interaction, the volume of business conducted through the platform,
or any special services or accommodations that may be provided.
Mutual Advertisement and Promotion
Each party may, at its sole discretion, choose to promote the other’s offerings
through their respective marketing channels. Nothing in this section shall create a
binding obligation to undertake co-marketing activities.
If Pepagora facilitates the sale or listing of counter party’s products on its
platform, the counterparty shall, in turn, make reasonable efforts to advertise or
promote Pepagora‘s Platform through its own marketing channels, including but not
limited to its website, social media, and promotional materials. Likewise, Pepagora
shall also make reasonable efforts to promote the counterparty’s products listed on
its platform through its standard marketing activities. Any promotion of Pepagora’s
services by counterparties shall not infringe upon Pepagora’s intellectual property
rights, including but not limited to trademarks, logos, brand names, and proprietary
content. Counterparties are granted a limited, non-exclusive, revocable license to
use Pepagora’s name, logos, and promotional materials solely for the purpose of
promoting Pepagora’s services, and only to the extent necessary for such promotional
activities. This license may be revoked by Pepagora at any time with written notice.
The nature, frequency, and form of such promotional activities shall be solely at the
discretion of Pepagora.
Fees and Payments
We charge a Service Fee for transactions facilitated through our platform. The fee
structure will be clearly outlined on the platform. The packages offered by Pepagora
currently are Explore, Grow/Starter, Scale/Professional, Global/Business and
Enterprise. The various services offered within each package is outlined in the
pricing page of the Pepagora website. Pepagora retains the sole discretion to
modify, alter, merge, terminate or add new subscriptions packages as per business
requirements. Pepagora retains the unilateral right to modify the scope of services
offered within each subscription package as per its business requirements. Users who
have subscribed for any subscription package and intend to upgrade or downgrade to
another package are not entitled to seek adjustment of remaining unused subscription
period from the existing subscription, and any such requests may be denied by
Pepagora, and this decision of Pepagora is final and binding on User.
Service Fees are non-refundable unless otherwise specified.
Payments must be made through the platform’s designated payment methods.
User Responsibilities
As a User, you agree to:
- Provide accurate, complete, and lawful information regarding the physical goods
you supply or purchase.
- Abide by all laws and regulations governing your transactions.
- Respect the intellectual property, privacy, and rights of other Users.
- Avoid uploading or sharing harmful, illegal, or fraudulent content or prohibited
content.
- Maintain accurate and current business registration information
- Promptly update account information when changes occur
- Report suspected fraudulent activity or security breaches immediately
- Comply with all applicable export/import regulations for international
transactions
- Maintain appropriate business licenses and permits for their activities
- Not engage in price manipulation, bid rigging, or anti-competitive practices
Failure to adhere to these responsibilities may result in account suspension or
termination by giving prior 7 (seven) days’ notice in advance before account
suspension or termination.
Service Limitations
We do not guarantee the availability, quality, or suitability of goods transacted
through our platform. We are not liable for disputes, delays, or damages arising
from transactions. We reserve the right to modify or discontinue parts of the
platform without notice.
To the maximum extent permitted by law:
- No Warranties: The Platform is provided "AS IS" and "AS
AVAILABLE" without warranties of any kind, whether express, implied, statutory
or otherwise.
- Exclusion of Damages:Pepagora shall not be liable for any
indirect, incidental, special, consequential, or punitive damages, including but
not limited to:
- Loss of profits, revenue, or business opportunities
- Loss or corruption of data
- Business interruption
- Failure to realize expected savings
- Third-party claims
- Liability Cap: Our total liability for all claims arising from
or related to these terms or your use of the Platform shall not exceed the
lesser of:
- The total amount paid by you to Pepagora in the 12 months preceding the
claim
- $10,000 USD (or equivalent in local currency)
- Time Limitation: Any claim must be brought within one (1) year
after the cause of action arises.
User Verification and Platform Disclaimers
Pepagora operates a tiered verification system where some users undergo identity and
background verification processes while others may use the platform without such
verification. For premium subscription users and certain service tiers, Pepagora may
conduct identity verification, background checks, and business credential validation
through our onboarding team, and such users will be clearly identified as "Verified"
on the platform. However, even for verified users, Pepagora's verification process
is limited to identity confirmation and basic credential checks and does not
constitute an endorsement or guarantee of the user's business practices, product
quality, financial stability, or legal compliance.
For unverified users who access the platform on a free or basic tier basis, Pepagora
does not verify identity, background, legal standing, business credentials, or any
other user information, and users interact with such unverified accounts entirely at
their own risk. Pepagora disclaims all liability for any losses, damages, disputes,
or legal issues arising from interactions with unverified users, including but not
limited to fraud, misrepresentation, product defects, non-delivery, or any other
commercial disputes.
Regardless of verification status, Pepagora does not endorse or guarantee the
quality, legality, authenticity, or compliance of any goods or services listed on
the platform, and users are solely responsible for conducting their own due
diligence before engaging in any business transactions. Verification status
indicates only that certain identity and credential checks have been completed and
does not constitute a recommendation, endorsement, or warranty regarding the user's
business operations, product quality, or commercial reliability. All users, whether
verified or unverified, participate in transactions at their own risk and are
responsible for their own legal compliance and business practices.
Pepagora is not responsible for communications, negotiations, or transactions that
occur outside the platform between users who initially connected through our
services. Users are advised to conduct thorough due diligence prior to engaging in
any commercial arrangements, whether conducted on or off the platform, and
acknowledge that any business dealings outside the platform are entirely at their
own risk and subject to separate terms between the parties.
Algorithmic Content Aggregation and Automated Listings
Pepagora's platform utilizes automated algorithms and data aggregation technologies
to collect product catalogs, pricing information, and supplier details from various
open sources and licensed data providers to enhance the marketplace offerings. In
some instances, users may appear as sellers of products or may have product listings
associated with their profiles based on algorithmically aggregated data from public
sources, industry databases, or third-party catalogs, without such users having
directly uploaded or claimed ownership of such listings. Pepagora disclaims all
liability for any inaccuracies, misattributions, unauthorized associations, or
commercial disputes arising from such algorithmic content aggregation and automated
listing processes.
Users acknowledge that they may be associated with products, suppliers, or business
information derived from automated data collection, and any user who believes they
have been incorrectly associated with products or listings may request removal of
such content by contacting our support team. By requesting removal of
algorithmically aggregated content, users waive any claims for damages, lost
profits, reputational harm, or other losses that may have occurred prior to the
removal request and acknowledge that Pepagora's automated systems operate in good
faith to provide comprehensive marketplace information. Users further acknowledge
that the removal process may take a reasonable time to complete and that similar
information may reappear if it continues to be available in the source databases
from which our algorithms collect data.
Regardless of verification status or content source, Pepagora does not endorse or
guarantee the quality, legality, authenticity, or compliance of any goods or
services listed on the platform, whether uploaded directly by users or aggregated
through automated processes, and users are solely responsible for conducting their
own due diligence before engaging in any business transactions. Verification status
indicates only that certain identity and credential checks have been completed and
does not constitute a recommendation, endorsement, or warranty regarding the user's
business operations, product quality, or commercial reliability. All users, whether
verified or unverified, participate in transactions at their own risk and are
responsible for their own legal compliance and business practices.
Third-Party Security
Pepagora shall not be liable for security breaches, data loss, or privacy violations
arising from third-party service providers, including but not limited to cloud
hosting providers, payment processors, analytics services, or other integrated
platforms, except where such breaches result from Pepagora's gross negligence or
willful misconduct in selecting or managing such service providers.
Intellectual Property
All intellectual property rights related to the platform, including but not limited
to trademarks, designs, software, databases, and content, remain the exclusive
property of Pepagora and are protected under applicable intellectual property laws.
Users are strictly prohibited from reproducing, modifying, distributing,
reverse-engineering, decompiling, or creating derivative works based on any part of
the platform without obtaining prior written consent from Pepagora. Unauthorized
use, reproduction, or alteration of proprietary elements may result in legal action,
including claims for damages and injunctive relief. By using the platform, Users
acknowledge Pepagora‘s complete ownership of all intellectual property and agree to
uphold these rights.
By posting content on the Platform, you grant Pepagora:
- A worldwide, non-exclusive, royalty-free license to use, display, reproduce, and
distribute your content
- The right to moderate, edit, or remove content that violates these terms
- Permission to use your business name and logo in promotional materials related
to transactions facilitated through the Platform
Digital Millennium Copyright Act (DMCA) Compliance
We respond to valid DMCA takedown notices. To report copyright infringement:
- Submit written notice including specific details of the copyrighted work
- Provide contact information and statement of good faith belief
Include electronic or physical signature of copyright owner or authorized agent
Feedback License
By providing feedback, suggestions, or ideas about our platform, you grant Pepagora
the right to use, modify, and implement such feedback without compensation or
attribution. Pepagora has no obligation to use your feedback and may develop similar
features independently. You retain ownership of any confidential business
information in your feedback but waive claims to general suggestions and improvement
ideas.
Limited Promotional License for Users
Pepagora grants users a limited, non-exclusive, non-transferable, revocable license
to use Pepagora's name, logos, and approved promotional materials solely for the
purpose of promoting their own business activities in connection with their use of
the Pepagora platform. This license permits users to reference their association
with Pepagora in marketing materials, social media posts, business presentations,
and similar promotional activities, provided that such use accurately represents the
user's relationship with Pepagora and promotes both the user's business and the
Pepagora platform.
This promotional license is subject to strict limitations and users may not use
Pepagora's intellectual property for any competing business activities, create
derivative works based on Pepagora's branding, suggest endorsement or partnership
beyond the actual service relationship, engage in any activity that could constitute
trademark infringement or passing off, modify or alter Pepagora's logos or branding
elements, use Pepagora's intellectual property in any manner that could damage
Pepagora's reputation or brand value, or register any domain names, social media
handles, or business names incorporating Pepagora's trademarks.
Users must comply with any brand guidelines or promotional standards provided by
Pepagora and agree to cease all use of Pepagora's intellectual property immediately
upon termination of their account or upon written notice from Pepagora. Any use of
Pepagora's intellectual property that exceeds the scope of this limited license or
violates these restrictions may result in immediate license revocation, account
termination, and potential legal action for trademark infringement or unfair
competition. Users acknowledge that all goodwill generated from their use of
Pepagora's intellectual property inures solely to the benefit of Pepagora.
Enhanced Security Measures
Platform Security
Users must:
- Use strong, unique passwords and enable two-factor authentication when available
- Not share account credentials with third parties
- Immediately report any unauthorized access or suspicious activity
- Not attempt to breach security measures or access restricted areas
Prohibited Activities
Users shall not:
- Use automated scripts, bots, crawlers, or any automated means to access the
Platform, scrape platform content, mine user data, extract business information,
or harvest contact details. Automated access, data scraping, content mining, or
systematic extraction of platform information is strictly prohibited regardless
of the method used.
- Attempt to reverse engineer, decompile, or hack the Platform
- Upload malware, viruses, or other harmful code
- Create multiple accounts to circumvent restrictions
- Engage in money laundering or other illegal financial activities
Legal action may be taken against parties who violate this clause, including but not
limited to injunctive relief and claims for damages
Anti-Money Laundering (AML)
- Users may be required to provide additional verification for high-value
transactions
- Suspicious activities will be reported to relevant authorities as required by
law
- We reserve the right to freeze accounts pending investigation of suspicious
activities
Sanctions Compliance
- Users must comply with all applicable economic sanctions and trade restrictions
- Transactions involving sanctioned individuals, entities, or jurisdictions are
prohibited
- We may use automated screening tools to detect potential sanctions violations
Tax Compliance
Users are solely responsible for compliance with all applicable tax obligations,
including but not limited to:
- Goods and Services Tax (GST) requirements in their jurisdiction

- Import/export duties and customs requirements
- Any other local, state, or national tax obligations
Trade and Export Controls
Users represent and warrant that they:
- Are not located in, or subject to control of, any country or entity under

- Are not listed on any government restricted party lists or sanctions programs
- Will comply with all applicable export controls and trade laws
- Hold all necessary import/export licenses and permits for their business
activities
- Will not engage in transactions involving prohibited or restricted
goods/services
Anti-Corruption and Business Ethics
Users must comply with all applicable anti-bribery and anti-corruption laws,
including but not limited to:
- The Foreign Corrupt Practices Act (FCPA) where applicable
- Local anti-corruption regulations in their operating jurisdictions

Import/Export Licensing
Users engaged in international trade must:

Breach of confidentiality may lead to legal action.
Transaction-Specific Terms
Pepagora acts solely as a technology facilitator connecting buyers and suppliers. We
do not hold any fiduciary responsibility or custody of funds. All payment
processing, escrow services, or financial transaction services, if provided, are
administered through third-party licensed partners under separate terms and
conditions.
Payment Processing
- All payments are processed through secure, PCI-compliant payment processors
- Currency conversion rates (if applicable) are determined at the time of
transaction
- Payment disputes must be reported within 30 days of the transaction date
- Chargebacks may result in account suspension pending investigation
- Users agree to the terms and conditions of the respective payment processors
Escrow Services (If Applicable)
For high-value transactions, third-party escrow services may be available through

- Pepagora does not hold, manage, or have custody of escrowed funds

- Users enter into separate agreements with escrow service providers

Pepagora is not responsible for the performance, reliability, or compliance of
third-party payment processors or escrow service providers. Users acknowledge that
their use of such services is governed by separate terms and conditions with those
providers.
Cancellation and Refund Policy
Cancellation: Users can cancel their subscription or service engagement directly
through the Pepagora portal or by contacting our support team. Cancellation will
take effect at the end of the current billing cycle unless expressly stated

Refunds: Refunds are only issued under exceptional circumstances, such as technical

We reserve the right to terminate or suspend your account, access, or use of the

- Violation of applicable laws or regulations
- Harassment or abuse of other users
- Multiple violations of these terms after warnings
- Non-payment of fees on or before expiry of opted plan.
Termination Process
- Written notice will be provided when possible (except for immediate termination
cases)
- Users have 7 days to respond to non-immediate termination notices
- Upon termination, access to the Platform will be revoked
- Users may download their data within 30 days of termination notice
Disclaimers
The platform is provided “as is” and “as available” without warranties of any kind,
either express or implied. We disclaim liability for direct, indirect, incidental,
or consequential damages arising from the use or inability to use the platform.
Indemnification
Users agree to indemnify and hold harmless Pepagora, its affiliates, employees, and
agents from any claims, damages, or legal fees arising from:
- Your use of the platform or non-compliance with this Agreement
- Any third-party claims, penalties, or damages arising from User's violation of
intellectual property rights
- Non-compliance with product regulations, safety standards, or quality
requirements - Violations of consumer protection laws or unfair trade practices
- Breach of trade/export laws, sanctions regulations, or customs requirements
- Tax non-compliance or disputes with tax authorities
- Product liability claims or defective goods sold through the platform
- Misrepresentation of business credentials, licenses, or product information
- Provision of inaccurate, misleading, or false information during registration,
profile creation, or ongoing platform use, including but not limited to business
credentials, identity documents, product information, or any other data
submitted to the platform.
This indemnification obligation shall survive termination of this Agreement and
includes all costs, expenses, and attorney fees incurred by Pepagora in defending
against such claims.

API and Third-Party Service Usage Terms
API ACCESS AND USAGE
API access to our platform requires separate agreement and authentication
credentials, and users must comply with rate limits, usage quotas, and technical
specifications as defined in our API documentation. Users are responsible for
keeping API keys secure and must not share them with unauthorized parties, and any
automated access must respect platform resources and other users' experience.
Commercial API usage may require separate licensing agreements beyond the standard
terms of service.
THIRD-PARTY INTEGRATIONS
Users may integrate approved third-party services with their Pepagora accounts
subject to additional terms and conditions specific to each integration. Pepagora is
not responsible for the performance, availability, data handling practices, or
security of third-party services, and users must ensure that any third-party
services they utilize comply with applicable data protection laws and regulations.
Integration failures, data loss, or service interruptions caused by third parties do
not constitute platform failures on Pepagora's part and are not covered under our
service level commitments.
SERVICE DEPENDENCIES
Our platform relies on various third-party services to deliver functionality,
including cloud infrastructure providers for hosting, storage and content delivery
networks, payment processors and financial service partners for transaction
handling, analytics and monitoring tools for platform optimization, communication
and notification services for user engagement, and security and fraud prevention
tools for platform protection. While we select reputable service providers and
maintain appropriate service agreements, the performance and availability of these
third-party services may impact overall platform functionality.
THIRD-PARTY SERVICE DISCLAIMER
Although we select reputable service providers and maintain appropriate contractual
relationships, we cannot guarantee the performance, reliability, or availability of
third-party services upon which our platform depends. Service interruptions, data
breaches, or failures by third-party providers may affect platform functionality,
and users acknowledge that certain platform features may be governed by additional
third-party terms of service. We reserve the right to change service providers with
reasonable notice to users, and such changes may require updates to integration
configurations or user settings.
API TERMS AND CONDITIONS
Detailed API documentation, technical requirements, and usage guidelines are
available separately through our developer portal, and usage monitoring and
compliance enforcement mechanisms may result in access restrictions or suspension
for violations. Any violation of API terms, including but not limited to excessive
usage, security breaches, or misuse of authentication credentials, may result in
immediate access suspension without prior notice. Enterprise-level API access with
enhanced features, support, and service level agreements is available under separate
commercial agreements with custom terms and pricing.
Force Majeure
We shall not be responsible for delays or failure in performance due to events
beyond our reasonable control, including but not limited to natural disasters,
riots, strikes, protests, mass demonstrations, government-imposed restrictions,
civil commotion, fire, flood, explosions, acts of God, war, enemy actions,
terrorism, political instability, civil unrest, technical failures of critical
systems beyond our control, internet outages, telecommunications failures,
third-party service interruptions including hosting providers, payment processors,
cloud services, cyber-attacks, data breaches or security incidents affecting
third-party infrastructure, power grid failures, utility outages, hardware failures
of essential third-party infrastructure, changes in laws or regulations affecting
platform operations, court orders or government directives requiring service
modifications, sanctions or trade restrictions impacting service delivery, failures
of essential third-party service providers, payment gateway or financial service
interruptions, cloud infrastructure or hosting service outages, and API failures
from integrated third-party services. In such events, Pepagora will make reasonable
efforts to minimize service disruption and restore normal operations as soon as
practicable. Users will be notified of significant service interruptions when
possible.
Dispute Resolution
In the event of any dispute, controversy, or claim arising out of or relating to
this Agreement, including its breach, termination or validity, the parties agree to
first attempt to resolve the dispute amicably via good faith negotiations within 30
days from the date either party notifies the other in writing regarding existence of
such dispute.
If the dispute cannot be resolved through negotiation within the specified timeline,
the parties agree to submit the dispute to mediation administered by a mutually
agreed upon mediator. The mediation process shall be confidential.
If the dispute remains unresolved after mediation, either party may submit the
dispute to binding arbitration under the Singapore International Arbitration Centre
(SIAC) Rules. The arbitration shall be conducted by a sole arbitrator appointed in
accordance with SIAC Rules. The arbitrator's decision shall be final and binding on
both parties. The place of arbitration shall be Singapore, and the language of
arbitration shall be English.
Limitation of liability
We are not a party to any supply agreement between the Users. We are not involved in
the procurement, sale or delivery of any goods listed on the platform. All terms of
supply and delivery are independently agreed upon by the Users. Hence, we do not
hold title to any goods listed or transacted through the platform and assume no risk
of loss or damage in relation to such goods. All risks, responsibilities, and
liabilities associated with the goods rest entirely with the respective Supplier and
Buyer.
Termination
This Agreement shall continue to be in force unless terminated by either party with
30 (thirty) business days prior written notice to the other party.
The Service Provider may, at its sole discretion, unilaterally terminate this
Agreement by giving 30 (thirty) business days written notice to the other party, in
the event other party fails to perform its responsibilities or commits breach or
obligations of any of the terms, conditions or provisions of this Agreement and
fails to cure breach or non-performance within a period of 30 (thirty) days from the
date of receipt of notice from the service Provider, requesting the other party to
cure such breach or obligation.
Renewal
The parties may mutually agree to renew this Agreement upon such terms and
conditions as may be agreed upon based on the applicable service category. For
online sales conducted through standard subscription packages, renewal shall be
automatic as per the selected pricing package terms available on the platform,
unless either party provides notice of non-renewal prior to the expiration of the
current term. For field sales and enterprise agreements, renewal shall be subject to
mutual discussion and consent, with terms and conditions to be negotiated and agreed
upon in writing between the parties prior to renewal. All renewal arrangements shall
be properly documented and executed in accordance with the applicable service
delivery model and documented in writing as appropriate for the specific engagement
type.
Severability
If any provision is held to be invalid, then that provision will be modified to the
extent necessary to make it enforceable, and any invalidity will not affect the
remaining provisions.
Dispute Resolution and Governing Law
This Agreement shall be governed by and construed in accordance with the laws of
Singapore. Any disputes between User and Pepagora must be resolved through
arbitration in Bangalore.

Amendments
We reserve the right to amend this Agreement at any time. Updated terms will be
published on the platform, and continued use signifies your acceptance of these
changes.
Communication and Notice Requirements
Electronic Communications
By using the Platform, you consent to receive communications electronically,
including:
- Terms of Service updates
- Privacy Policy changes
- Transaction confirmations
- Marketing communications (with opt-out option)
Notice Delivery
Notices are deemed delivered:
- Immediately if sent via Platform messaging system
- 24 hours if sent via email to registered address
- 3 business days if sent via postal mail
Unless otherwise stated, notices and all other such communications given made or
required under this agreement shall be in writing, in English language and shall be
delivered either; (a) personally (b) registered post or internationally recognized
courier service, or (c) by electronic mail, in each case addressed to the other
party from time to time.

Assignment
Users may not assign their rights or obligations without written consent.
Pepagora may assign this agreement in connection with a merger, acquisition, or sale
of assets.
Survival
The following sections survive termination: Intellectual Property, Confidentiality,
Limitation of Liability, Indemnification, and Governing Law.
Entire Agreement
This Agreement, together with the Privacy Policy and any additional terms for
specific services, constitutes the complete agreement between the parties. In the
event of any discrepancy or conflict between versions of this Agreement in different
languages, the English version shall prevail and be considered the authoritative
text for interpretation and enforcement purposes.
Thank you for using Pepagora. By agreeing to these Terms of Service, you acknowledge
your understanding and acceptance of these conditions.
Subscription Level Agreement
This Subscription Level Agreement (“Agreement”) outlines the terms and conditions
under which Pepagora (“we”, “us”, or “the Service Provider”) provides services to
you (“User” or “Client”). By accessing or using our platform, you agree to comply
with and be bound by this Agreement. If you do not agree to these terms, you must
refrain from using the platform and its services.
By subscribing to or accessing any of the Pepagora subscription packages (Explore,
Grow/Starter, Scale/Professional, Global/Business, Enterprise), you agree to be
bound by the terms of this Agreement. You also agree to be bound by the Terms of
Service and Privacy Policy as outlined on the website.
This Subscription Level Agreement supplements and is subject to Pepagora's Terms of
Service and Privacy Policy. In case of conflict between this SLA and the master
Terms of Service, the Terms of Service shall prevail except for
subscription-specific service levels and features outlined herein.
Definitions
- Services: refer to the features and tools provided under each subscription
package as outlined on the Pepagora pricing page and/or in relevant
communications.
- Platform: Refers to the Pepagora system offered to users for facilitating
transactions of goods.
- Subscription Plan: means one of the listed tiers: Explore, Grow/Starter,
Scale/Professional, Global/Business, or Enterprise
- User: shall mean any individual or entity accessing or using the platform,
including but not limited to suppliers and buyers, or any other parties
interacting with the Platform’s services, features, or content, whether on a
subscription basis or not. Users shall be deemed to have agreed to comply with
the Terms of Use and all applicable policies governing such access or use.
- User Data: refers to all content, data, and materials submitted by the Customer
via platform.
- Effective Date: means the date you subscribe to any paid or trial service
- Current Plan: shall mean specific subscription package including but not limited
to free trial, Explore, Grow/Starter, Scale/Professional, Global/Business, or
Enterprise tier, as selected and activated by the User or Subscriber and as
recorded in the Company’s system at any given point in time.
- Subscription Fees: means the recurring or one-time fees payable by the User to
access the platform, as set out in the Quotation/Pricing Page
- Subscriber: shall mean any legal person who opts into, enrolls for, activates
any Subscription plans offered by the Company, whether free or paid, and thereby
gains access to the Services in accordance with the terms and conditions of the
applicable plan. A Subscriber may be required to register an account, provide
necessary credentials or payment information, and agree to adhere to these Terms
of Use or any other governing agreement
- Content: means any data, listings, messages, files, images or other materials a
User uploads to the Platform
- Confidential Information: shall mean and include but is not limited to,
information which is or fairly can be considered to be of a confidential nature,
which is obtained whether in oral, written, graphic, electronic or
machine-readable form on any media.
License Grant
The Company grants you a limited, non-exclusive, non-transferable, revocable license
to use the Services under your selected subscription plan, solely for your internal
business operations.
Subscription Plans and Payments
- Free plan includes limited features and is subject to restrictions outlined on
the pricing page for limited duration, no cost trial and shall not confer the
same rights or entitlements as paid subscription tiers.
- Paid plans (Explore to Enterprise) are billed monthly or annually. Pricing and
features are detailed on the website

- Users may upgrade or downgrade their subscription plans at any time by
submitting a written request via email to support@Pepagora.com
or through their account dashboard
- If a User chooses to upgrade their Current Plan, the unused portion of the
existing subscription may be adjusted against the new plan from the date of
upgradation at the discretion of the Company. This feature is only available on
existing valid annual subscriptions.
- If a User opts to downgrade their plan, no refunds or credits shall be provided
for the remaining period of the higher-tier subscription. The downgrade will
take effect from the start of the next billing cycle, unless specified
otherwise.
- All changes in subscription plans are subject to verification and confirmation
by the Company
Features of plan
The services include, but are not limited to:
Online Catalog Creation
The Company shall provide the Subscriber with access to tools and functionalities for
creating and managing an online catalog, subject to the features and limitations of
the specific subscription plan selected by the Subscriber. Availability, scope, and
extent of these features may vary based on the Subscriber’s Current Plan, as defined
in this Agreement, and the applicable subscription model.
Multilingual Catalog and website support
The Company shall provide the Subscriber with functionalities to enable catalog and
website content in multiple languages, subject to the features available under the
Subscriber’s Plan, as defined in the Agreement. English shall be the default
language and will be supported across all plans. Access to additional language
options may vary depending on the Specific subscription model selected by the
Subscriber.
Own domain website – SSL Certificate (secure website)
Subscribers under the Scale/Professional, Global/Business and Enterprise plans shall
be provided with SSL (Security Socket Layer) Certificates for their own domain
websites to enable encryption and secure access. Subscribers under the Free, Explore
and Grow/Starter plans shall not be provided with dedicated SSL Certificates as a
consequence to their subscription.
The Company shall not be responsible or liable in any manner whatsoever for any data
breaches, security vulnerabilities, unauthorized access, loss of data, or any other
damages, losses or liabilities arising out of or in connection with the Subscriber’s
use of an own domain website. Subscribers opting for plans that do not include SSL
support acknowledge and accept the inherent risks of operating a non-secure website,
and expressly waive any claims against Company in this regard
No Code Content Management
All Subscribers, irrespective of their subscription tier (Free to Enterprise), shall
have access to the Platform’s No Code Content Management tools. This feature enables
Subscribers to manage and update their business profile, product listings and
marketing content without the need for technical or programming knowledge.
The Platform provides these tools on an “as is basis” and Subscribers are solely
responsible for the accuracy and appropriateness of their content they upload or
modify. The platform disclaims any liability arising as a result of usage of this
feature. The platform reserves rights to restrict or revoke access as it deems fit.
Hosting on AWS
Hosting is provided on the best effort basis via third party servers (AWS). The
Platform makes no warranty for uptime, latency, or data loss. The Subscriber
expressly waives any claim for damages arising from AWS related failures or
interruptions.
Business email (for certain tiers)
This facility is available only in case a Subscriber has subscribed to
Scale/Professional, Global/Business, and Enterprise plans. The platform is not
liable for any data loss, downtime, or third-party server issues. Subscribers are
responsible for managing their email credentials and ensuring proper usage in
accordance with applicable laws.
CDN for Global Speed
The Content Delivery Network (CDN) feature is available and enabled for
Scale/Professional, Global/Business and Enterprise plans to ensure optimized content
delivery, faster load times, and enhanced website performance across global
geographies. This feature is not included in Free, Explore, or Grow/Starter Plans.
While every effort is made to ensure optimal CDN Performance, Pepagora shall not be
held responsible for any issues, interruptions, or delays in content delivery
including but not limited to, temporary service degradation during high-traffic
periods, network congestion or latency beyond Pepagora’s control, incomplete or
corrupted file caching, etc.
Users acknowledge that CDN performance may be influenced by factors beyond Pepagora’s
control, and by choosing to use this feature, they agree to do so at their own
discretion and risk. Pepagora disclaims all warranties, express or implied, and
shall not be liable for any direct or indirect loss, damage, or disruption caused by
or arising from reliance on the CDN service.
Marketplace Reach and visibility Tools.
Pepagora offers various marketplace visibility features to users subscribed to
Explore, Grow/Starter, Scale/Professional, Global/Business and Enterprise plans.
These features may include Product listing on Pepagora’s B2B platform, AI-generated
product description, Enhanced product descriptions for visibility, Strategic
placement of products in featured sections, Search and filter priority within the
platform, Multi Currency Product listing.
These tools are designed to help increase visibility, customer reach etc. However,
Pepagora shall not be held liable for any loss of opportunity, reduced visibility,
lack of buyer engagement, or sales performance arising out of or related to the use
of these visibility features. Any AI generated descriptions are offered “as-is” and
must be reviewed and approved by the User. Pepagora disclaims all warranties
relating to AI accuracy, product appeal, or legal sufficiency.
Post sell offers
The ability to sell offers is provided to all plans except Free. This feature is
unlimited for eligible plans. Pepagora shall not be held responsible for any posting
errors, inaccurate offer details, pricing disputes, buyer engagement issues, or
failure of offers to generate leads or sales. Users are solely responsible for the
accuracy and legality of the content they publish
Post Buy Requirements
Unlimited posting of buy requirements is available to all plans. Pepagora assumes no
liability for lack of responses to posted buy requirements, receipt of irrelevant or
fraudulent responses, or any misrepresentation by third-party suppliers. Users must
conduct their own diligence before proceeding with any purchase.
Instant Supplier Match
This feature is available to subscribers of the Explore, Grow/Starter,
Scale/Professional, Global/Business, and Enterprise plans. Users on the Free Plan do
not have access to this feature therefore they have to manually search and connect
with suppliers through the platform’s general search functionaries.
RFQ Access

Pepagora does not guarantee the quality, competitiveness, or response rate of RFQs.
Users are solely responsible for reviewing, validating and responding to RFQs.
Pepagora disclaims all liability for any loss, fraud, or miscommunication resulting
from RFQ interactions.
SME social Feed Posting
Social media engagement features on Platform are restricted to view-only access for
users subscribed to the Free and Explore plans. Subscribers on Grow/Starter,
Scale/Professional, Global/Business, and Enterprise plans are granted full access to
actively publish posts, share updates, promote offerings, and engage with other
businesses through the SME social feed.
Pepagora is not liable for any negative feedback, lack of engagement, unauthorized
reposting, third-party misuse, or legal consequences of content posted by Users. All
Users are solely responsible for the content and must ensure it complies with
applicable laws.
Lead Management Tool (CRM)/ Customer Relationship Management
Pepagora provides an integrated Lead Management Tool (CRM) toolkit starting from the
Grow/Starter Plan onwards, designed to help businesses streamline their customer
acquisition and sales process, which includes as follows but not limited to:
Lead Dashboard: A centralized view of all incoming leads, allowing subscribers to
track their status, activity and progress through the sales funnel
Customer Management: A robust customer management system for paid plans that enables
users to store, organize, and maintain detailed records of clients and prospects
Lead Import: A structured pipeline tool (available from Global/Business onwards) to
visualize and monitor lead movement across different stages, helping the Users to
prioritize and close deals more effectively.
Quote Generator: A dynamic tool that allows Users to generate and send sales
quotations directly from the Platform, improving response time and professionalism
in client communication
While Pepagora provides these CRM tools to facilitate lead tracking and customer
management, it shall not be held liable for any errors, delays, data loss,
miscommunication, or missed business opportunities arising from incorrect data entry
or import by the User, system configuration issues, technical interruptions,
inaccurate sales forecasting or pipeline projections etc.
Business Trust and Verification
Business Trust and Verification features are introduced to enhance credibility and
promote trustworthy trade relationships which includes and not limited to the
following:
KYC Verification:Users and Subscribers may undergo a multi‐stream KYC verification
process to confirm both business and individual identities before accessing
services.
Businesses complete a Know Your Business (KYB) workflow—document OCR, electronic
business verification and AML screening and, once approved, receive a verified badge
on their profile.
Authorized Representatives and Ultimate Beneficial Owners each complete liveness
detection, document OCR, face matching, ID verification and individual AML checks to
establish identity and risk status.
Eco Business Tag: Businesses that meet environmentally sustainable standards, as
defined by Pepagora’s internal criteria, may be awarded an Eco Business Tag,
showcasing their commitment to eco-friendly practices.
SSL Certification: All hosted websites under eligible plans are secured with SSL
encryption, offering a secure browsing experience to Users.
Platform Tag: Pepagora may assign a platform-generated trust tag to profiles that
meet specific internal performance, activity, or reputation benchmarks.
Pepagora shall not be held responsible for any fraudulent activity,
misrepresentation, business losses, or reputational damage resulting from reliance
on any trust tag, KYC badge, SSL security, or eco-label. Users are advised to
independently verify all third-party businesses and conduct their own due diligence
before entering into transactions. Trust and verification indicators are for
informational purposes only and do not constitute an endorsement or warranty by
Pepagora.
Rating & Endorsements
Pepagora allows verified buyers and partners to leave ratings and endorsements for
businesses they interact with. These serve as indicators of credibility and customer
satisfaction, enhancing the business’s reputation on the platform.
Pepagora does not verify or guarantee the authenticity, accuracy, or fairness of any
ratings or endorsements. We are not responsible for any reputational harm, business
loss, or misunderstanding arising from user-generated feedback. Subscribers are
prohibited from manipulating ratings or engaging in fake endorsements, and such
activity may lead to suspension or termination.
Business Dashboard & Analytics
The Business Dashboard offers actionable analytics and insights to help subscribers
monitor and optimize their presence on the platform. Depending on the subscribed
plan, available features may include:
Catalog Views (per month): Visibility metrics to track profile reach.
Lead Source Insights: Analysis of where leads are coming from.
Growth Reports: Summaries of key performance indicators over time.
Auto SEO Tags: AI-generated search optimization tags to enhance discoverability.
Pepagora does not guarantee the accuracy, completeness, or real-time availability of
dashboard metrics. Users must not rely solely on this data for critical business
decisions. Pepagora disclaims all responsibility for any consequences resulting from
inaccurate, incomplete, or delayed analytics.
Buyer Communication Tools
To support seamless communication and conversion, Pepagora provides a set of Buyer
Communication Tools (formerly “Buyer Connect”) for subscribers on applicable plans.
These tools may include:
Live Chat: Instant messaging with potential buyers.

Pepagora is not responsible for any message delivery failures, communication delays,
misinterpretations, or misuse of the communication tools by users or third parties.
All communication must comply with applicable laws, including spam and data
protection.
Customer Support Services
Subscribers under eligible plans may receive priority assistance and onboarding
support through:
Dedicated Account Manager: A personalized point of contact for strategic guidance and
support.
Helpdesk Access: Ticket-based or chat-based support for technical or platform-related
queries.
Training & Onboarding: Introductory support sessions and learning resources to help
users utilize platform features effectively.
While Pepagora strives to provide timely and helpful support, we do not guarantee
uninterrupted availability, specific resolutions, or performance outcomes. Users
remain responsible for their own business configurations, training continuity, and
compliance obligations.
Term and Termination
This agreement remains effective until terminated by either party. Customer may
cancel at any time through the user dashboard.
The Company may terminate access if you breach any terms of this Agreement (add more)
termination for cause, termination without cause.,
User Obligations
As a User, you agree to:
Provide accurate, complete, and lawful information regarding the physical goods you
supply or purchase.
Abide by all laws and regulations governing your transactions.
Respect the intellectual property, privacy, and rights of other Users.
Avoid uploading or sharing harmful, illegal, or fraudulent content.
Failure to adhere to these responsibilities may result in account suspension or
termination by giving prior 7 (seven) days’ notice in advance before account
suspension or termination.
Data Privacy
The privacy policy provides for the policies and procedures applicable to the
collection, use, storage, disclosure and protection of your information shared with
us while you use the Platform. We maintain reasonable security standards for
securing the transactions and your information. This Privacy Policy does not apply
to information that you provide to or that is collected by any third party via the
Platform, and any third-party sites that you access or use in connection with the
services offered on this Platform.
7.2 Creation of user accounts on the Platform will constitute your deemed acceptance
of the Privacy Policy. We may update this Privacy Policy to comply with regulatory
requirements; such amendments will be updated on our website as and when amendments
in Privacy Policy are made. Your continued use of our services post amendments shall
constitute your consent to the updated Privacy policy.
Responsibility of End User
By subscribing to and using Pepagora’s services, all Users agree to take full
responsibility to access, configure, and utilize the platform’s tools and features.
This includes, but is not limited to:
Accuracy and Legality of Content:
Users or Subscribers are solely responsible for the accuracy, legality, and
appropriateness of all information they upload, publish, or transmit through the
platform, including product listings, company details, communications, AI-generated
content, and documents.
Use of Communication and Marketing Tools
Users or Subscribers are responsible for ensuring that all communications made
through Pepagora tools (live chat, email marketing, AI Chat, etc.) are lawful,
respectful, and compliant with applicable data privacy laws and regulations.
Verification and Due Diligence
Users or Subscribers are expected to independently verify the identity, credibility,
and trustworthiness of third parties before entering into transactions, even where
ratings, KYC badges, or trust tags are displayed.
Lead and Contact Management
Users or Subscribers are responsible for regularly updating and managing their
leads, contacts, pipeline stages, and related CRM activities. Pepagora is not liable
for losses resulting from poor data hygiene, outdated information, or missed
follow-ups.
Monitoring and Acting on Analytics
While the platform may provide insights (e.g., Growth Reports, Lead Source Data, SEO
Tags), users are responsible for interpreting and acting on this data. Pepagora
provides such tools for facilitation only and makes no guarantees regarding
outcomes.
Compliance with Laws
Users or Subscribers agree to comply with all applicable laws, including those
relating to business operations, data protection, marketing, advertising, consumer
protection, and intellectual property. Pepagora is not responsible for any legal
violations committed by users.
Security and Account Integrity
Users or Subscribers are responsible for maintaining the confidentiality of their
account credentials and for all activities that occur under their account. Users
must report any unauthorized access or breaches immediately.
Pepagora shall not be held liable for any damages, losses, or liabilities arising out
of or related to the User’s or Subscriber’s failure to fulfill the responsibilities
outlined above. Failure to comply with the same may result in suspension,
restriction, or termination of platform access.
Service Availability Commitments
Pepagora makes reasonable efforts to maintain platform availability and performance
but does not guarantee specific uptime percentages or response times. Service
availability may vary based on subscription tier, with premium plans generally
receiving priority support and faster issue resolution. All services are provided on
a "best effort" basis subject to the limitations and disclaimers outlined in this
Agreement and our Terms of Service.
Force Majeure and Service Level Exceptions
Service level commitments and uptime guarantees outlined in this section are subject
to force majeure events and circumstances beyond Pepagora’s reasonable control,
including but not limited to natural disasters, riots, strikes, government-imposed
restrictions, civil commotion, acts of God, war, terrorism, technical failures of
critical systems beyond our control, internet outages, telecommunications failures,
third-party service interruptions including AWS hosting providers, payment
processors, cloud services, cyber-attacks, data breaches or security incidents
affecting third-party infrastructure, power grid failures, utility outages, and API
failures from integrated third-party services. During such events, service level
commitments may be suspended without penalty, and affected downtime will be excluded
from uptime calculations. Pepagora will make reasonable efforts to minimize service
disruption and restore normal operations as soon as practicable, with users notified
of significant service interruptions when possible.
Confidential Information
You agree to maintain the confidentiality of any sensitive information obtained
through the platform, including trade secrets, pricing details, and client data.
Breach of confidentiality may lead to legal action.
Warranty
Pepagora provides its platform and related services on an “as-is” and “as-available”
basis, without any warranties of any kind, whether of any kind, whether express,
implied, statutory, or otherwise.
Pepagora disclaims all warranties, including but not limited to Implied warranties of
merchantability, fitness for a particular purpose, non- infringement, and accuracy
of information, warranties that the platform will be uninterrupted, error-free,
secure, or meet the user’s expectations, warranties regarding the outcomes, leads,
conversions, visibility, or sales performance resulting from use only feature such
as CRM tools, SEO tags, AI content, dashboards, or communication system.
Pepagora makes no guarantees regarding the completeness, reliability, or quality of
third-party content, user-generated ratings, or AI-generated materials. Use of these
features is entirely at the user's own risk
Indemnification
You agree to indemnify and hold harmless Pepagora, its affiliates, employees, and
agents from any claims, damages, or legal fees arising from your use of the platform
or non-compliance with this Agreement.
Intellectual Property
All intellectual property rights related to the platform, including but not limited
to trademarks, designs, software, databases, and content, remain the exclusive
property of Pepagora and are protected under applicable intellectual property laws.
Users are strictly prohibited from reproducing, modifying, distributing,
reverse-engineering, decompiling, or creating derivative works based on any part of
the platform without obtaining prior written consent from Pepagora. Unauthorized
use, reproduction, or alteration of proprietary elements may result in legal action,
including claims for damages and injunctive relief. By using the platform, Users
acknowledge Pepagora’s complete ownership of all intellectual property and agree to
uphold these rights.
Limitation of Liability
We do not guarantee the availability, quality, or suitability of goods transacted
through our platform. We are not liable for disputes, delays, or damages arising
from transactions. We reserve the right to modify or discontinue parts of the
platform without notice.
Amendments
We reserve the right to amend this Agreement at any time. Updated terms will be
published on the platform, and continued use signifies your acceptance of these
changes.

Governing Law
